Job Overview

MediBuddy is seeking an experienced and proactive Company Secretary for a full-time, in-house position based in Bangalore. This role will lead corporate governance for all MediBuddy entities and manage the end-to-end corporate secretarial function. Reporting directly to the CFO, the Company Secretary will serve as a key advisor on legal and governance matters.

This position requires a certified Company Secretary with deep expertise in Indian corporate laws, regulatory compliance (including RBI and FEMA regulations etc), and governance best practices. The ideal candidate is self-motivated, detail-oriented, and comfortable operating in a fast-paced, collaborative environment.

 

Key Responsibilities

Corporate Governance & Secretarial Compliance

  • Ensure full compliance with the Companies Act, 2013 and related rules for MediBuddy and its Indian subsidiaries.
  • Maintain statutory registers and records, act as custodian of all corporate secretarial documents.
  • Handle timely filing of forms, returns, and other documents with regulatory bodies.
  • Organize and facilitate Board and Shareholder meetings, including agenda setting, minute preparation, and follow-ups.
  • Manage the incorporation of new entities and any associated legal formalities if any arise.
  • Collaborate closely with the finance team on regulatory and statutory matters.
  • Supervise the signing of financial statements and other statutory documents.
  • Provide advisory support on corporate governance practices and compliance frameworks.
  • Coordinate with external advisors for special projects and due diligence efforts.
  • Advice directors and senior leadership on governance and compliance matters.

Regulatory & Transactional Support

  • Facilitate documentation and compliance for CCPS issuance/conversion, NCDs, warrants, and ISIN creation (Mandatory).
  • Maintain and update debt trackers; oversee amendments to charter documents aligned with investor rights.
  • Support internal and external audits in collaboration with the finance team.
  • Prepare due diligence documentation for IPO readiness and M&A transactions.
  • Monitor and mitigate compliance risks across all governance activities.
  • Support global KYC/AML/ESG documentation /compliance for Investors, partners, and vendors.

 

Statutory Filings & Reporting

  • Handle XBRL verification and annual filings with MCA, RBI, and income tax portals.
  • Prepare Annual Return in coordination with the India finance team in-house.

 

Additional Responsibilities

  • Manage board-related legal documentation and execution for all MediBuddy India entities.
  • Participate in other corporate secretarial projects or strategic initiatives as assigned.
  • Vetting and reviewing of SHA, SSA, SPA and other transaction documents time to time.

 

Qualifications

  • Qualified Company Secretary (ACS/FCS) registered with the Institute of Company Secretaries of India (ICSI).
  • LLB/LLM will be preferred but not mandatory
  • Minimum 5 years of experience in a corporate secretarial role, preferably in a high-growth or regulated environment.
  • Strong knowledge of:
    • The Companies Act, 2013
    • Corporate governance norms
    • RBI and FEMA compliance
  • Experience in board and shareholder meeting facilitation, statutory record-keeping, and legal documentation.

  • Strong written and verbal communication skills, with the ability to interface effectively with board members, senior management, and regulatory authorities.
  • High level of integrity, discretion, and attention to detail.
  • Ability to work independently and as part of a cross-functional team.
  • Strong organizational and time management skills with the ability to meet tight deadlines.
